Arrangements for Electronic Dissemination of Corporate Communications

The English and Chinese versions of all the Company’s Corporate Communications* are available on the Company’s website and the HKEXnews website at www.hkexnews.hk (the “Website Version”).
 
Pursuant to the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited, the Companies Ordinance (Chapter 622 of the Laws of Hong Kong) and the Articles of Association of the Company, the Company adopts the following arrangements for electronic dissemination of the Corporate Communications:
 
Registered Shareholders:
The Company seeks consent from each registered shareholder of reading the Website Version of the Corporate Communications (other than Actionable Corporate Communications as mentioned below) instead of receiving printed copies. If the Company does not receive a response indicating the registered shareholder’s objection within a period of 28 days from the Company’s request, the registered shareholder will be deemed to have consented to receive the Website Version only, and an email notification (if a valid and functional email address is provided) or a notification letter of the publication of the relevant Corporate Communications on the Company’s website will be sent to the registered shareholder.
 
Actionable Corporate Communications (i.e. any corporate communication that seeks instructions from the securities holders of the Company on how they wish to exercise their rights or make an election as the securities holder of the Company) will be sent to registered shareholders individually by post at their addresses as appearing in the Company’s register of members maintained by the Company’s share registrar as mentioned below until such time a valid and functional email address is provided instead of making them available only on the Company’s website.
 
Non-registered Holders^:
The Company sends to each non-registered holder an email notification (if a valid and functional email address is provided) or a notification letter of the publication of the relevant Corporate Communications on the Company’s website unless the non-registered holder has elected to receive printed version of the Corporate Communications.
 
If any shareholder has difficulty in gaining access to the Website Version of the Corporate Communications or wishes to receive the Corporate Communications in printed form, the Company will, promptly upon receipt of the shareholder’s request in writing, send the printed version to the shareholder free of charge. Request should be sent by post to the Company’s share registrar, Computershare Hong Kong Investor Services Limited (the “Share Registrar”), at 17M Floor, Hopewell Centre, 183 Queen’s Road East, Wanchai, Hong Kong, or by email to towngas.ecom@computershare.com.hk specifying shareholder’s name, address and request to receive the Corporate Communications in printed form.
 
Registered shareholders may change their choice of language and/or means of receipt of the Company’s future Corporate Communications free of charge at any time by giving reasonable notice (not less than 7 days) by way of completing the Change Request Form below and sending it to the Share Registrar by post or by email (with details as mentioned above). Shareholder’s request for printed version of future Corporate Communications will be valid for one year starting from the receipt date of shareholder’s request and will expire thereafter. Non-registered holders should liaise with the intermediaries through which their shares in the Company are held (e.g. their bank(s), broker(s), custodian(s), nominee(s) or HKSCC Nominees Limited) to make such changes.

* Corporate Communications mean any documents issued or to be issued by the Company for the information or action of holders of any of its securities, including but not limited to (a) the directors’ report, its annual accounts together with a copy of the auditor’s report and, where applicable, a summary financial report; (b) the interim report and, where applicable, a summary interim report; (c) a notice of meeting; (d) a listing document; (e) a circular; and (f) a proxy form.
 
^ Non-registered holder means such person or company whose securities are held in The Central Clearing and Settlement System (CCASS) and who has notified the Company from time to time through Hong Kong Securities Clearing Company Limited to receive the Corporate Communications.
